Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and HarvestGrid. By accessing or using our platform, including our website, mobile applications, soil testing services, marketplace, and subscription offerings, you agree to comply with and be bound by these Terms.

If you do not agree to these Terms, you must not access or use our services. We reserve the right to modify these Terms at any time, and your continued use of the platform after such modifications constitutes acceptance of the updated Terms.

Eligibility and Account Registration

You must be at least 16 years of age to use HarvestGrid. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.

Platform Services and Features

HarvestGrid provides garden planning tools, soil testing services, fertilizer recommendations, a marketplace for garden supplies and surplus produce, and subscription-based features. We strive to maintain accurate and up-to-date information, but we do not guarantee the completeness or accuracy of recommendations, test results, or third-party listings.

Features and availability may vary depending on your location, subscription tier, and other factors. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

Subscription Plans and Billing

Subscription plans are billed on a recurring basis according to the billing cycle you select. Subscription fees are charged in advance and are non-refundable except as required by law. You authorize us to charge your payment method for all applicable fees.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We reserve the right to change subscription pricing with advance notice to existing subscribers. Failure to pay applicable fees may result in suspension or termination of your account.

Soil Testing Services

Soil testing kits must be used according to the provided instructions. Test results are based on the samples you provide and laboratory analysis. While we strive for accuracy, results may vary due to sample collection methods, handling, or laboratory conditions.

Soil test recommendations are provided for informational purposes only and should not be considered professional agricultural advice. You are solely responsible for decisions made based on test results. We are not liable for crop failures, property damage, or other losses resulting from your use of test results or recommendations.

Marketplace Transactions

The HarvestGrid marketplace facilitates transactions between users and between users and third-party retailers. We are not a party to these transactions and do not guarantee the quality, safety, legality, or availability of listed items. Buyers and sellers are solely responsible for fulfilling their obligations.

All marketplace transactions are subject to our commission structure and applicable fees. Retailers must comply with our seller policies and maintain accurate product information. We reserve the right to remove listings, suspend sellers, or cancel transactions that violate our policies or applicable laws.

User Content and Conduct

You may submit content to our platform, including garden data, harvest logs, reviews, and marketplace listings. You retain ownership of your content but grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with operating and promoting our services.

You agree not to post content that is unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable. You must not impersonate others, interfere with platform operations, or engage in unauthorized data collection. We reserve the right to remove any content and terminate accounts that violate these standards.

Intellectual Property Rights

All content, features, functionality, and materials on HarvestGrid, including text, graphics, logos, software, and data compilations, are owned by HarvestGrid or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works, publicly display, or exploit any platform materials without our express written permission. Unauthorized use may result in legal action and account termination.

Third-Party Services and Links

Our platform may contain links to third-party websites, services, retailers, or content providers. We do not endorse, control, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

We may integrate with payment processors, shipping carriers, and other service providers to facilitate platform functionality. These integrations are governed by the respective third-party terms and privacy policies.

Disclaimers and Limitations of Liability

HarvestGrid is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

To the fullest extent permitted by law, HarvestGrid and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of or inability to use the platform.

Our total liability for any claims arising from these Terms or your use of the platform shall not exceed the amount you paid to HarvestGrid in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless HarvestGrid, its affiliates, and their respective officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the platform, violation of these Terms, infringement of third-party rights, or any content you submit.

Termination and Suspension

We may suspend or terminate your account and access to the platform at any time, with or without cause or notice, including for violation of these Terms, fraudulent activity, abusive behavior, or prolonged inactivity.

Upon termination, your right to use the platform immediately ceases. Provisions of these Terms that by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, and limitations of liability.

Dispute Resolution and Governing Law

These Terms are governed by the laws of Japan, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in Tokyo, Japan, except where prohibited by law.

You agree to waive any right to a jury trial and to participate in class action lawsuits. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party service providers.

Export and Compliance

You agree to comply with all applicable laws and regulations, including export control laws, data protection regulations, and local agricultural regulations. You represent that you are not located in a country subject to embargo and that you are not on any government list of prohibited parties.
